The biggest mistake sellers make isn’t in the calculation—it’s in the definition of profit.

Two sellers look at their dashboard. Both see $15,000 deposited. One thinks they made $15,000. The other knows they made $9,000.

The gap between those two numbers determines whether you sell your store for a life-changing amount or leave six figures on the table.

Here is the reality of valuing your online business in 2026.

The Core Difference: Earnings vs. Revenue

When a buyer looks at a Shopify store, they aren’t buying your top-line revenue. They are buying a stream of discretionary earnings.

For a Shopify business, we value based on SDE (Seller’s Discretionary Earnings). This is the true cash flow available to the owner. It includes your salary, your health insurance, your car lease—the things you run through the business that a new buyer might not have to.

For an Amazon FBA business, we look closer at Net Profit. Why? Because Amazon FBA is often more passive. There isn’t a massive owner salary to “add back” because the owner isn’t packing boxes; the Fulfillment Center is. The expenses are usually operational (PPC, software) rather than personal.

Understanding this difference is the first step to not underpricing your asset.

Shopify Valuation Formula

Let’s break down the standard formula used by brokers and private equity firms for Shopify brands.

Step 1: Calculate SDE. Start with your tax return net income. Add back non-cash expenses (depreciation, amortization), interest, one-time expenses, and your owner’s salary.

Step 2: Apply the Multiple. The range in 2026 remains steady at 2.5x to 3.5x for established stores.

Step 3: Adjust for the App Ecosystem. This is unique to Shopify. The buyer is inheriting your tech stack.

  • Clean Stack: 3-5 essential apps (Email, Reviews, Upsell). Low overhead. High efficiency. -> +0.2x to multiple
  • Bloated Stack: 20+ apps, many with overlapping features, slow site speed. -> -0.3x to multiple

A clunky store with 15 apps trying to do the same thing is a liability. A buyer knows they have to spend time and money cleaning it up before they can scale.

Amazon FBA Valuation Formula

Amazon is a different beast. The “owner” is essentially a brand manager and supply chain coordinator.

Step 1: Calculate Net Profit. Revenue minus Cost of Goods Sold, Amazon Fees, PPC, and Software.

Step 2: Apply the Multiple. Generally 2.0x to 3.0x for small to mid-sized brands.

Step 3: Add Inventory. This is crucial. You typically sell inventory at cost on top of the purchase price. If you have $50,000 of stock in FBA warehouses, the buyer pays you that $50,000 separately (or as part of the close).

Step 4: Assess Concentration Risk. If 80% of your revenue comes from one ASIN, you will get a discount. If it’s a diversified catalog of 10+ products, you get a premium.

Which Sells for More?

As a general rule, Shopify stores command higher earnings multiples. The market rewards control and customer data.

However, Amazon FBA businesses often have higher velocity (time to sale) and easier due diligence. A buyer can verify an Amazon business in a weekend. A Shopify business might take two weeks because the buyer has to verify the email list, the ad accounts, and the social media following.

If you need to sell fast, Amazon is easier. If you want max value, Shopify is king.

Hybrid Models

Many successful sellers operate both: Shopify as the brand hub, Amazon as the sales channel.

When valuing a hybrid:

  1. Separate the P&Ls. If you mix all revenue into one spreadsheet, you’ll confuse the buyer.
  2. Value the Amazon portion at 2.5x.
  3. Value the Shopify portion at 3.0x or higher.
  4. Add a small “synergy premium” if the brand is strong enough to drive organic traffic on both platforms.

A hybrid model de-risks the acquisition. If Amazon suspends your listing, you still have Shopify. That safety net is worth money.

The market has shifted. Gone are the days of 2021 when anyone could sell for 5x. Now, buyers are strict.

  • Shopify: Premiums are going to stores with high repeat purchase rates and low ad dependence. Stores relying solely on Facebook ads are being discounted heavily due to volatility.
  • Amazon: The aggregator boom is dead, but private buyers are still active. They want defensible rankings (brand registry, patents, high review counts). Me-too products are hard to sell.
